1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of theadministrativeprocess.com (the "Site") and any products, guides, courses, applications, journals, calendars, or other materials sold or distributed through it (the "Products").

The Site and Products are operated by The Administrative Process ("we," "us," "our"). By accessing the Site, purchasing a Product, or downloading any file, you agree to be bound by these Terms. If you do not agree, do not use the Site or purchase the Products.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to purchase from this Site. By purchasing, you represent that you meet these requirements and that the payment information you provide is your own and is accurate.

3. Educational Purpose — Not Professional Advice

This is the most important provision in these Terms. Please read it carefully.

The Products are educational materials. They describe general frameworks, sequences, and practices for organizing and building a business. They discuss topics including business formation, licensing, federal and state registration, industry classification, business credit, intellectual property, contracting, marketing, and operations.

Nothing in the Products constitutes legal, tax, accounting, financial, investment, or professional advice. We are not a law firm, accounting firm, registered agent, financial advisor, credit repair organization, or government agency, and no attorney-client, fiduciary, or other professional relationship is created by your purchase or use of any Product.

Laws, filing requirements, agency procedures, eligibility rules, and registration systems vary by jurisdiction and change over time. Information accurate when written may become outdated. You are solely responsible for verifying any requirement that applies to your specific business, and for consulting a qualified attorney, accountant, or other licensed professional before acting on anything described in a Product.

Any company, scenario, figure, code, certification, or document referenced in the Products as an example — including Precision Admin Solutions, LLC and any other case study — is illustrative and fictional unless expressly stated otherwise. Example figures, identifiers, and credentials are not real and must not be relied upon or reused.

4. No Guarantee of Results

You are purchasing educational material, not an outcome. We make no representation, warranty, or guarantee that using the Products will result in business formation, contract awards, revenue, funding, credit approval, certification, cost savings, or any other result.

Any example, illustration, or case study is provided for instruction only and does not represent typical results. Your outcome depends on factors outside our control, including your industry, market, jurisdiction, capital, execution, timing, and effort. We disclaim any express or implied earnings claim.

5. Products, License, and Restrictions

Upon full payment, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Product you purchased for your own personal use and for the internal use of a single business that you own or operate.

You may:

• Download and store the Product for your own reference
• Print copies for your own use
• Use worksheets, checklists, and templates in the operation of your own business

You may not:

• Resell, sublicense, rent, lend, distribute, or give away any Product or file
• Share download links, files, or account access with any other person or organization
• Reproduce or republish the Products, in whole or in substantial part, in any medium
• Use the Products to create a competing course, guide, program, or training offering
• Deliver the Products as part of a consulting, coaching, or agency service to clients without a separate written license from us
• Remove, alter, or obscure any copyright notice, branding, or attribution
• Use automated means to scrape, copy, or extract Product content

We may revoke your license and terminate your access if you materially breach this section.

6. Intellectual Property

All content on the Site and within the Products — including text, frameworks, phase structures, worksheets, illustrations, logos, cover art, the name "The Administrative Process," and the tagline "Strategy. Structure. Success." — is owned by Louis DeAbreu or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Nothing in these Terms transfers ownership of any intellectual property to you. Work product you create by completing a worksheet or template — your own business information, plans, and documents — belongs to you.

7. Orders, Pricing, and Payment

Prices are stated in United States dollars and may change at any time. A price change does not affect an order already completed.

We reserve the right to refuse or cancel any order, including orders where a product was listed at an incorrect price, where we suspect fraud or unauthorized payment, or where a prior purchaser has breached these Terms. If we cancel a paid order, we will refund it in full.

You are responsible for any applicable taxes not collected at checkout.

8. Delivery and Access

Products are delivered digitally. A download link is issued to the email address provided at checkout, typically immediately after payment is confirmed.

You are responsible for providing a valid email address and for retrieving and storing your files. Download links may expire or be limited in the number of uses. If a link expires, is lost, or fails, contact us and we will re-issue it.

We do not guarantee uninterrupted availability of the Site or of download infrastructure, and we are not responsible for delivery failures caused by incorrect email addresses, spam filters, full mailboxes, or your device or network.

9. Refunds

All Products are digital and all sales are final, subject to the exceptions described in our Refund Policy, which is incorporated into these Terms by reference. Please review it before purchasing.

10. Acceptable Use

You agree not to use the Site to violate any law, infringe any right, transmit malicious code, attempt to gain unauthorized access to any system or account, interfere with the operation of the Site, or harass any person. We may suspend or terminate access for any conduct we reasonably believe violates these Terms or harms us or another user.

11. Third-Party Resources

The Products may reference third-party websites, agencies, systems, or services — including government registration portals and credit bureaus. These references are provided for convenience. We do not control, endorse, or assume responsibility for third-party content, policies, procedures, availability, or fees, and your dealings with any third party are solely between you and that party.

12. Disclaimer of Warranties

The Site and Products are provided "as is" and "as available," without warranty of any kind. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant that the Products will be error-free, current, complete, or suitable for your particular circumstances, or that the Site will be secure or uninterrupted.

13. Limitation of Liability

To the fullest extent permitted by law, The Administrative Process and its owners, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost business opportunity, lost data, rejected application, denied certification, missed deadline, or business interruption, arising out of or relating to the Site or the Products, even if we have been advised of the possibility of such damages.

In all cases, our total aggregate liability arising out of or relating to the Site or any Product will not exceed the amount you actually paid us for the Product giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. In such cases, our liability is limited to the greatest extent permitted by law.

14. Indemnification

You agree to indemnify and hold harmless The Administrative Process and its owners, officers, employees, and contractors from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of your breach of these Terms, your misuse of the Products, your violation of any law, or your infringement of any third-party right.

15. Changes to These Terms

We may update these Terms at any time. The updated version takes effect when posted to the Site, and the "Last updated" date will be revised. Your continued use of the Site after a change constitutes acceptance. The Terms in effect at the time of your purchase govern that purchase.

16. Termination

We may suspend or terminate your access to the Site or any Product at any time, with or without notice, for conduct that violates these Terms. Sections 3, 4, 5, 6, 12, 13, 14, and 17 survive termination.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. 

Any dispute arising out of or relating to these Terms or the Products will be brought exclusively in the state or federal courts located in Georgia, and you consent to personal jurisdiction there.

Before filing any claim, you agree to contact us and attempt in good faith to resolve the matter informally for at least 30 days.

18. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions remain in full force. These Terms, together with our Refund Policy and Privacy Policy, constitute the entire agreement between you and us regarding the Site and Products.
